ENEOSによるハンガリーにおける合成ゴム事業取得について、アドバイスを提供
Freshfieldsは、株式会社ENEOSマテリアルに対し、ENEOS MOL Synthetic Rubber Ltd.（以下「EMSR」といいます。）の株式49%を、ハンガリーのMOLグループから取得する取引についてアドバイスを提供しました。本契約は2024年11月29日に締結され、この取引によりEMSRはENEOSマテリアルの完全子会社となります。詳細につきましては、こちらのリンクをご覧ください。
ENEOSマテリアルは、合成ゴム、熱可塑性エラストマー、ラテックスなどの高機能素材の研究、開発、製造、販売事業を行っています。今後EMSRは、ENEOSマテリアルの完全子会社として、同社グループとの連携をさらに強化し、欧州における溶液重合スチレン・ブタジエンゴム（SSBR）事業の拡充を目指します。
本取引は、Freshfieldsの日本M&Aプラクティス代表の中島 智子と、香港オフィスのアソシエイトのSilver Yuがリードし、以下のメンバーのサポートを得ながらとりまとめました。

Freshfields advises ENEOS in the buyout of MOL’s shares in Hungarian synthetic rubber venture EMSR
Global law firm Freshfields has advised ENEOS Materials Corporation in its agreement to acquire, from Hungary’s MOL Group, a 49% equity interest in ENEOS MOL Synthetic Rubber Ltd. ("EMSR"). The purchase agreement was executed on November 29, 2024; following the completion of the transaction, EMSR will be a wholly owned subsidiary of ENEOS Materials. ENEOS Materials engages in research, development, manufacturing, and sales of high-performance materials such as synthetic rubber, thermoplastic elastomers, and latex. As a wholly owned subsidiary of ENEOS Materials, EMSR will further strengthen collaboration with ENEOS Materials and its group companies, and work to further expand the solution polymerisation styrene butadiene rubber business in Europe.
